Important: These Terms of Sale apply exclusively to B2B commercial relations between SARL EMILY and its professional customers. Placing an order implies unconditional acceptance of these terms. These Terms are available on request at contact@emilybijoux.com.

Article 2 — Scope and professional access

These Terms govern exclusively the commercial relations between SARL EMILY, a stainless steel jewellery wholesaler, and its professional customers (legal entities or individuals acting within the scope of their commercial activity).

Sales are strictly reserved for professionals. Identification requirements vary by customer location:

If the required identification is not provided or is invalid, SARL EMILY reserves the right to refuse the order or to apply French VAT at the applicable rate.

Article 3 — Commercial selection and right to refuse

SARL EMILY reserves the right to refuse the opening of a professional account or any order, without being required to provide justification, particularly in order to:

Article 5 — Orders and minimum order value

The minimum order value is €100 excl. VAT. Orders below this threshold will not be processed.

Any order placed constitutes a firm commitment and may not be cancelled or modified after validation. In-store collection is available upon prior request.

Custom orders relate to products manufactured specifically at the customer's request and are subject to the following conditions:

Article 7 — Prices and invoicing

All prices are quoted in euros excl. VAT (HT), excluding delivery costs. VAT at the applicable rate will be added to invoices for customers liable for VAT in France.

Prices may be updated at any time. The prices applicable are those in force at the time the order is confirmed. The following additional costs are the sole responsibility of the customer:

Article 9 — Delivery

SARL EMILY delivers to the following areas: mainland France, European Union, French overseas territories (DOM-TOM).

Risk transfers to the customer upon handover of goods to the carrier. Any transport-related claim (loss, damage) is the carrier's responsibility and must be addressed directly to them.

Article 10 — Retention of title

Goods remain the full property of SARL EMILY until complete payment of the price including all charges. The customer may not resell, pledge or dispose of the goods until full payment has been received.

Any claim must be submitted within 48 hours of receipt, by email to contact@emilybijoux.com, with supporting photographs. Claims submitted after this deadline will not be accepted.

Article 12 — Returns and claims

No return is accepted without prior written agreement from SARL EMILY. Returns are only permitted in the following cases:

Returned products must be unused, in their original packaging. Return shipping costs are the customer's responsibility, except where the error is attributable to SARL EMILY.

Article 13 — Limitation of liability

SARL EMILY's liability shall not under any circumstances extend to any indirect damage, loss of business, loss of revenue or commercial loss suffered by the customer, regardless of the cause.

In any event, SARL EMILY's liability is strictly limited to the value of the order concerned.

Article 14 — Intellectual property and use of visuals

All visuals, photographs, logos and content provided by SARL EMILY in the context of the commercial relationship remain its exclusive property, protected under intellectual property law.

The customer is authorised to use this content solely for the purpose of reselling EMILY products, in a manner consistent with the brand image. Any unauthorised use, modification or exploitation for other purposes is strictly prohibited without prior written consent from SARL EMILY.

Article 15 — Confidentiality of commercial terms

The wholesale prices, discounts and commercial conditions communicated to the customer are strictly confidential and for their exclusive use. Any disclosure to third parties is prohibited and may give rise to the customer's liability.

Article 16 — Force majeure

SARL EMILY shall not be held liable for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code (pandemic, natural disaster, strike, supply disruption beyond its control, etc.).

Article 17 — Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute, the parties will endeavour to reach an amicable resolution within 30 days. Failing this, any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Bobigny (Tribunal de Commerce de Bobigny), France, even in cases involving multiple defendants or third-party claims.

Article 18 — Amendments

SARL EMILY reserves the right to amend these Terms at any time. The applicable Terms are those in force at the date the order is placed.
